Shareholder Composition and
Status
As of December 31, 2025, LG Innotek had 23,667,107 issued common shares outstanding and had not issued any other class of shares. LG Electronics is the largest shareholder, holding 40.79% (9,653,181 shares), while the National Pension Service holds 10.43% (2,468,255 shares). All shares carry one vote per share, except for 2,600 treasury shares with no voting rights.
To protect shareholder rights, LG Innotek complies with the Korean Commercial Act and other applicable laws and regulations. Notably, in alignment with recent statutory amendments and to strengthen minority shareholder rights, LG Innotek removed the provision excluding cumulative voting from its Articles of Incorporation at the Annual General Meeting of Shareholders held in March 2026. Furthermore, relevant provisions within the Articles of Incorporation were amended in anticipation of introducing electronic general meeting of shareholders in 2027.
Dividend Policy
We place the highest priority on enhancing shareholder value by returning corporate profits to our investors. To this end, we determine our dividend levels by comprehensively balancing financial performance, the securement of investment capital for future growth engines, cash flow, and overall capital structure health.
In particular, through the “Corporate Value-up Plan” announced in November 2024, the Company has further specified its mid- to long-term shareholder return roadmap. The Company’s dividend policy is based on consolidated net income (excluding non-recurring gains), and it aims to steadily expand shareholder returns by gradually increasing the consolidated dividend payout ratio from 11% in FY2024 to 15% by 2027 and 20% by 2030.
For the 2025 fiscal year (FY2025), our dividend per share (DPS) was set at KRW 1,880, resulting in a 13.0% cash dividend payout ratio. This marks the eighth consecutive year of dividend increases since 2018, underscoring our steadfast commitment to upholding shareholder trust. Moving forward, we remain dedicated to driving corporate value through sustained earnings growth and transparently sharing these achievements with our shareholders and investors to further solidify market confidence.
